Sena Agbayissah concentrates his practice on all aspects of banking and finance law, including financing, asset management, capital markets and regulatory. In addition, his practice particularly focuses on carbon markets as well as financing for projects in Africa.

His experience includes:

  • Financing: Bilateral or syndicated corporate financing, asset financing (senior acquisition or mezzanine, real estate, aircraft, ships, industrial equipment), international trade financing, leverage tax financing, export financing; 
  • Asset Management: setting up and restructuring of investment funds and UCITs, marketing of foreign funds in France;
  • Capital Markets: legal and tax structuring of structured financial products, drafting and negotiating of derivatives agreements (FBF, ISDA, among others), securitization, convertible securities, drafting of structured debt instruments issuance program; 
  • Regulatory: setting up and licensing of credit institutions and investment firms and following up with regulatory authorities such as the Financial Markets Authority (“AMF”), and the Prudential Supervisory Authority (“ACP”), bank operations and investment services, European passport procedure, assisting financial institutions in relation to the supervision and penalty procedures carried out by the AMF, drafting of anti-money laundering procedures, restructuring; 
  • PPP: His experience includes the drafting of contractual documents relating to project financing, including, in particular, public-private partnerships (partnerships, public service concessions, administrative long term lease (BEA), hospital leases (BEH), leases with option to buy (AOT-LOA), and structuring of specialized funds such as the FIDEPPP).  In this regard, his expertise includes the negotiation and drafting of the various project contracts, financing and refinancing contracts, the securities relating thereto and delegation and assignment agreements as well as the documentation relating to equity investment;
  • Arbitration: International Centre for Settlement of Investment Disputes (ICSID), International Chamber of Commerce (ICC) arbitration, Common Court of Justice and Arbitration (CCJA) OHADA, ad hoc arbitration;
    Sena Agbayissah acts in arbitration matters as both counsel and arbitrator.  He is registered on the International Chamber of Commerce’s list of arbitrators, and the ICSID’s list of conciliators and arbitrators;
  • Carbon markets: setting and structuring of markets products, drafting of market rules, drafting and negotiating of market agreements; 
  • Africa/OHADA: corporate and project finance, trade finance, export finance, oil, gas, mines; 
  • Arbitration: ad hoc, ICC and ICSID.

Professional Activities

  • Member of the board of directors, European Association for Banking and Financial Law (AEDBF)
  • Member of the PRADA Commission and President of the CO2 Commission of Paris Europlace regarding the amendment of the MIF Directive relating to the qualification of quotas as financial instruments
